Terms of Service for EchoSubs AI
These Terms of Service ("Terms") govern your access to and use of the EchoSubs AI software application, website, and related services (collectively, the "Service"), provided by Cnnex Limited Company ("Company," "we," "us," or "our").
1. Acceptance of Terms
By accessing or using the Service, you signify that you have read, understood, and agree to be bound by these Terms. If you do not agree with these Terms, you must not use the Service. These Terms expressly incorporate by reference the Company's Privacy Policy and any other operating rules, policies, or procedures that may be published from time to time on the Service.
2. Eligibility and Account Registration
2.1 Eligibility

4. Subscriptions and Payments

4.2 Automatic Renewal
Paid plans renew automatically at the end of the subscription period unless you cancel your subscription prior to the renewal date. You authorize us (or our third-party payment processor) to charge the applicable subscription fee to your designated payment method on file.
4.3 Fee Changes
We reserve the right to change our subscription fees at any time. Any price changes will take effect following notice to you.
4.4 Refunds
All fees are non-refundable, except as expressly required by applicable law. In the event of termination by the Company without cause, we may, at our sole discretion, provide a pro-rata refund for the unused portion of your subscription.
5. Intellectual Property
5.1 Company Ownership
The Service, including all software, code, text, graphics, logos, trademarks, and all other content and materials provided by or through the Service, are the exclusive property of Cnnex Limited Company or its licensors and are protected by copyright, trademark, and other intellectual property laws.
5.2 User Content
You retain all ownership rights to the content you submit, post, or display on or through the Service ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Content in connection with the Service and our business.

THE SERVICE IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
6.2 Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CNNEX LIMITED COMPANY, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING, WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (III) ANY CONTENT OBTAINED FROM THE SERVICE; AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.
7. Termination
7.1 Termination by Company
We may suspend or terminate your access to all or any part of the Service at any time, with or without cause, with or without notice, effective immediately, including but not limited to your breach of these Terms.
7.2 Termination by User
You may stop using the Service at any time. If you have a paid subscription, you may cancel it through your account settings, and your termination will take effect at the end of your current billing cycle.
7.3 Effect of Termination
Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
8. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Washington, USA, without regard to its conflict of law principles.
Any disputes arising out of or relating to these Terms or the Service will be resolved through binding arbitration in the State of Washington, USA, or in a small claims court in your county of residence, if applicable.
